1. Sponsor

   The Empire Giveaway (the "Promotion") is sponsored by Empire Las Olas LLC, 350 SE Second St, Fort Lauderdale, FL 33301 ("Sponsor"). Questions: media@empiresociallounge.com.

2. Eligibility

   • Open to legal residents of the 50 United States and the District of Columbia who are 21 or older at the time of entry.
   • Not open to employees, officers, and owners of Sponsor, its affiliated lounges, and participating partner brands, or their immediate family and household members.
   • Not open to residents of other countries.
   • Void where prohibited or restricted by law.

3. Promotion Period

   The Promotion begins Wednesday, October 28, 2026, at 12:00 PM Eastern Time ("ET") and ends Sunday, November 1, 2026, at 5:00 PM ET. Each day is a separate daily entry period:

   The grand prize drawing takes place Wednesday, November 4, 2026, at 12:00 PM ET. Entry periods follow the 2026 Fort Lauderdale International Boat Show's public hours. All entries must be started before the entry period closes. Entries started before close must be submitted within five (5) minutes after close. Sponsor's computer clock is the official timekeeper.

4. How to Enter

   • Visit empiresociallounge.com/giveaway, online or by scanning a QR code at Sponsor's activation at the 2026 Fort Lauderdale International Boat Show, and complete the entry form.
   • Provide first name, last name, email address, and mobile number, confirm eligibility, and agree to these Official Rules.
   • Limit: one entry per person per daily entry period. Additional entries in the same period, including entries using different email addresses, phone numbers, or identities, will be disqualified. Use of automated or bulk entry methods is prohibited.
   • Each valid entry qualifies for (a) that day's daily drawing and (b) one entry in the grand prize drawing. A person who enters on multiple days receives multiple grand prize entries, up to five.
   • Opting in to email or text marketing is optional and is not required to enter or win.
   • Entries that are incomplete, late, or submitted outside an entry period are void, except entries completed within the five-minute grace period described in Rule 3. Sponsor is not responsible for lost, delayed, or misdirected entries or technical failures.

5. Drawings

   • Daily drawings: after each daily entry period closes, Sponsor will freeze the list of valid entries for that day and select one winner by random number generator, in the presence of a witness, at the time shown in Rule 3.
   • Grand prize drawing: Sponsor will combine all valid entries from all five daily entry periods, one record per valid daily entry, and select one winner by random number generator, in the presence of a witness.
   • Daily prize winners remain eligible for the grand prize.
   • Sponsor will record the entry count, method, selected entry, date, time, and witness for each drawing.
   • Winners need not be present to win.

6. Odds

   Odds of winning a daily prize depend on the number of valid entries received during that daily entry period. Odds of winning the grand prize depend on the total number of valid entries received during the Promotion Period and the number of days an entrant enters.

   Grand prize benefits (Social Membership, Las Olas):

   • Access to the members-only lounge, with the option to reserve it for networking and private events
   • Priority reservations on special event guest lists and priority seating with reservations
   • Access to members-only tastings, pairings, and special events
   • 10% off cigar singles and bar items
   • 20% off boxes of 20 cigars or more
   • 20% off spirit bottles
   • A personalized cedar humidor locker, with the option to add a name or company name

   The membership does not include house credits. Benefits are subject to Sponsor's standard membership terms in effect at activation.

   • Prizes contain no tobacco or alcohol products.
   • Gift card is a promotional card, redeemable only at Sponsor's Las Olas lounge, expires one year after activation, may be transferred to another person 21 or older, is subject to its standard terms, has no cash value, and may not be redeemed for cash.
   • Membership is non-transferable, has no cash value, and is subject to Sponsor's standard membership terms. Any fees beyond the prize, such as food, beverage, and personal purchases, are the winner's responsibility.
   • No cash or prize substitution, and no transfer of prizes other than the gift card, except that Sponsor may substitute a prize of equal or greater value if a prize becomes unavailable.
   • Winners are responsible for all taxes. Any winner receiving prizes valued at $600 or more in total must provide a completed IRS Form W-9 and will receive an IRS Form 1099.

8. Winner Notification

   • Winners will be notified by phone and email within 24 hours of the drawing.
   • Winners must respond within 48 hours of notification and may be asked to show a valid government-issued photo ID confirming age and residency.
   • Grand prize winner, and any winner receiving $600 or more in prizes, must return a completed W-9 and any required affidavit of eligibility and release within 7 days.
   • If a winner cannot be reached, does not respond in time, is found ineligible, or declines the prize, that prize is forfeited and an alternate winner may be drawn from the remaining valid entries for that drawing.
   • Daily prizes may be picked up at the Las Olas lounge or at Sponsor's boat show activation, or shipped within the US at Sponsor's discretion.

9. General Conditions

   • By entering, entrants agree to these Official Rules and Sponsor's decisions, which are final.
   • Sponsor may disqualify anyone who tampers with the entry process, submits false information, or violates these rules.
   • If the Promotion cannot run as planned due to fraud, technical failure, or causes beyond Sponsor's control, Sponsor may modify, suspend, or cancel it and award prizes from valid entries received before the action, subject to applicable law.

10. Privacy & Marketing

    • Personal information is used to administer the Promotion and contact winners, as described in Sponsor's Privacy Policy.
    • Entrants receive marketing emails or texts only if they check the separate, optional opt-in boxes. Marketing consent is not a condition of entry or purchase. Text opt-outs: reply STOP.
    • Entrant information is not sold or shared with partner brands.

11. Publicity

    Where permitted by law, winners agree that Sponsor may use their first name, last initial, city, and state in announcements and on Sponsor's social media without further compensation. Photos or video of a winner will be used only with the winner's separate consent.

    Winners who are nearby during the 2026 Fort Lauderdale International Boat Show, or at a later time, may be invited to a brief photo or interview moment at Sponsor's activation or Las Olas lounge. Participation is entirely optional and is not a condition of receiving any prize. Winners who participate will be asked to sign a separate media release.

12. Release of Liability

    By accepting a prize, winners release Sponsor, its affiliates, participating partner brands, the Fort Lauderdale International Boat Show and its organizers, and their officers, employees, and agents from claims arising from participation in the Promotion or acceptance or use of a prize, to the extent permitted by law.

13. Third-Party Disclaimers

    • This Promotion is not sponsored, endorsed, or administered by, or associated with, Instagram, Meta, or any other social platform.
    • The Fort Lauderdale International Boat Show, its owners, and its producers are not sponsors of this Promotion.
    • Participating partner brands provide prize items only and are not sponsors of this Promotion.

14. Disputes & Governing Law

    These rules are governed by Florida law. Any dispute will be resolved individually, without class action, in the state or federal courts located in Broward County, Florida.
